Welcome to Silent Sender (“Silent Sender”, “we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of our website, dashboards, payment flows, and all related services (collectively, the “Service”).

By creating an account, accessing the Service, or using any part of it, you agree to these Terms. If you do not agree, do not use the Service.

1. Service overview

Silent Sender provides a platform where users (“Recipients”) can create and manage digital wishlists and receive gifts from third parties (“Senders”), while helping protect privacy (including Recipient address privacy) and enabling payments through third-party payment processors (such as Stripe).

Silent Sender is a technology provider and intermediary. We do not manufacture, store, sell, ship, inspect, or guarantee items listed on wishlists or purchased by Senders.

2. Eligibility & accounts

2.1 Minimum age

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

2.2 Account information

You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

2.3 Security

If you suspect unauthorized access to your account, you must notify us immediately. We may require you to reset credentials or take other actions to protect the Service.

3. Wishlists, content & conduct

3.1 Wishlist content

You are responsible for all items, descriptions, links, and other content you post (“User Content”). You represent that you have the right to post the content and that it does not violate any law or third-party rights.

3.2 Prohibited content and use

You agree not to use the Service to post, request, facilitate, or promote:

  • Illegal, harmful, hateful, violent, or exploitative items or services;
  • Harassment, threats, doxxing, or privacy-invasive behavior;
  • Fraud, phishing, money laundering, or attempts to bypass platform fees;
  • Infringing content (copyright/trademark) or stolen goods;
  • Any content that would cause us to violate payment processor rules (e.g., Stripe policies).

3.3 Enforcement

We may remove or restrict content, and suspend or terminate accounts, at our discretion, including where we believe content or behavior violates these Terms, payment processor rules, or applicable law.

4. Fees, payments & payouts

4.1 Service fee (variable commission)

Silent Sender charges a service fee (commission) between two percent (2%) and ten percent (10%) of the gross transaction amount for completed payments processed through the Service.

The exact percentage depends on the payment method selected by the Sender (and may also vary based on factors such as payment network costs, currency, country, risk signals, or processor rules). The applicable fee is shown to the Sender before the payment is finalized (e.g., at checkout).

This service fee is deducted from the transaction amount before net funds are disbursed to the Recipient.

4.2 Payment processing (Stripe or other processors)

Payments are processed by third-party payment processors such as Stripe. You acknowledge that:

  • Silent Sender does not control payment authorization, declines, holds, or settlement timing by processors.
  • Recipients must connect a valid payout account (e.g., Stripe account) to receive funds.
  • Processors may charge additional fees (processing, conversion, etc.), separate from Silent Sender’s service fee.

4.3 Payouts to Recipients

Payouts consist of the net funds: Transaction Amount - Processor Fees - Silent Sender Service Fee. Payouts are initiated only after the payment is confirmed as completed by the processor.

Payout timing depends on processor settlement schedules and your bank. In most cases, payouts are completed within 1 to 10 business days. However, Silent Sender does not guarantee specific payout timing.

4.4 Taxes

You are solely responsible for determining and paying any taxes, duties, or reporting obligations associated with gifts received or funds disbursed through the Service.

5. Privacy & anonymity

A core goal of the Service is to protect Recipient privacy. However, “anonymity” is provided as a platform feature and not a guarantee against all possible identification methods.

  • Sender identity and billing details are not displayed to the Recipient by default.
  • Recipient shipping details are handled in a privacy-protecting manner and shared only as necessary to facilitate payment and delivery flows.
  • Silent Sender is not responsible if users bypass platform protections outside the Service (e.g., external messaging, social media, or self-disclosure).

6. Refunds, disputes & chargebacks

6.1 Disputes and chargebacks

If a Sender initiates a dispute or chargeback through their payment provider, the processor (e.g., Stripe) may reverse the payment, withdraw funds, and/or apply dispute fees.

6.2 Allocation of losses

Where funds have already been paid out to the Recipient and a dispute/chargeback occurs, the Recipient may be responsible for the reversed amount, dispute fees, and related costs, as permitted by the payment processor’s rules and applicable law.

6.3 Refunds

Refund eligibility and timing depend on the payment processor’s capabilities and the transaction status. Silent Sender may assist operationally, but does not guarantee that refunds can be issued once funds are settled or paid out.

7. Suspension & termination

We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, processor rules, or applicable law, or if your use creates risk for the platform or other users.

You may stop using the Service at any time. Some obligations (including fees, disputes/chargebacks, and legal terms) survive termination.

8. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Silent Sender is not responsible for:

  • The quality, legality, safety, or accuracy of items listed on wishlists;
  • Shipping issues, delays, lost packages, damaged goods, or supplier performance;
  • User-to-user interactions or conduct outside the Service;
  • Third-party outages, payment failures, or processor decisions.

9. Limitation of liability

To the maximum extent permitted by law, Silent Sender will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

To the maximum extent permitted by law, Silent Sender’s total liability for any claim arising out of or relating to the Service is limited to the amount of service fees paid to Silent Sender by the user in the three (3) months preceding the event giving rise to the claim, or €100, whichever is greater.

Some jurisdictions do not allow certain limitations of liability. In that case, these limitations apply to the fullest extent permitted.

10. Changes to the Service or Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Material changes may be communicated via the Service or email. Continued use after changes means you accept the updated Terms.

We may modify or discontinue parts of the Service at any time, including features, payment methods, and fee ranges, subject to applicable law.

11. Governing law

These Terms are governed by the laws of Netherlands, without regard to conflict of law principles.
